Legislative Decree 231/2001 (Regulation of the administrative liability of legal persons, companies and associations, including those without legal personality) provides that an Entity may be held liable – with the consequent application of significant fines both of a pecuniary and disqualification – in relation to certain specific crimes, committed or attempted by top management and subordinates in the interest or to the advantage of the Entity itself.
In the event of a crime being committed, exemption from administrative liability exists, among other things, if the Entity proves that it has adopted and effectively implemented, prior to the commission of the crime, an Organisational, Management and Control Model suitable for preventing crimes of the type that occurred.
To this end, Modula S.p.A. – by resolution of the Board of Directors on 17 September 2014 – adopted its own Organizational, Management and Control Model, consisting of a set of control procedures and rules, which the corporate functions must comply with in carrying out their activities.
The Organisational, Management and Control Model of Modula S.p.A. includes – as an essential and non-derogable element – the “Code of Ethics”, a tool through which the values that Modula S.p.A. are defined. recognizes, accepts and shares in the conduct of its business, in order to maximize the efficiency, reliability and reputation of the Company, which are key factors for its success and for the continuous improvement of the conditions in which Modula S.p.A. itself Opera.
All those who, even on a non-continuous and non-exclusive basis, work and operate in Modula S.p.A. (as customers, suppliers, employees, commercial and financial partners, shareholders, members of corporate bodies, etc.), without distinction or exception, are committed to observing and ensuring compliance with the principles and rules of Modula’s Code of Ethics within the scope of their functions and responsibilities, and the observance of these principles and rules are an essential part of the obligations they contract towards Modula S.p.A.
To this end, the Organisational, Management and Control Model (General Section) and the Code of Ethics of Modula S.p.A., in their updated version with resolution of the Board of Directors of 13 October 2020, are hereby made public and available to all interested parties.
